    4. Winner Determination and Notification: As part of his or her Entry, each entrant will be required to predict the results of sixty-three (63) games (each, a “Game”) in the 2022 NCAA Division I Men’s College Basketball Tournament (the “Tournament”). For clarity, the “First Four” games scheduled to be played on March 15-16, 2022 will not be considered Games for purposes of this Contest. Following the conclusion of the Tournament, Sponsor will review all eligible Entries received during the Contest Period. Prize winners for the Contest will be determined as follows:

$10,000,000 Perfect Bracket Grand Prize Winner: If an eligible entrant validly submits a Perfect Bracket (defined below), as determined by Sponsor in its sole discretion, such entrant will be deemed the potential grand prize winner of the Contest. It is possible that no entrant will submit a Perfect Bracket. If no eligible entrant submits a Perfect Bracket, the grand prize (as detailed in the Prize section below) will not be awarded. In the event that two (2) or more eligible entrants submit a Perfect Bracket, as determined by Sponsor in its sole discretion, all such eligible entrants will be deemed potential grand prize winners, and the grand prize will be divided equally among those grand prize winners. A “Perfect Bracket” is an eligible Entry which correctly identifies which real-world men’s college basketball teams will win each of the sixty-three (63) Games.

$100,000 High-Score First Prize Winner: The eligible entrant whose Entry receives the highest point score (using the Point System below) relative to the other Entries in the Contest, as determined by Sponsor in its sole discretion, will be deemed the potential first prize winner of the Contest. In the event that two (2) or more eligible entrants tie for the highest point score in the Contest, all such eligible entrants will be deemed first prize winners of the Contest, and the first prize (as detailed in the Prize section below) will be divided equally among those first prize winners. There will be at least one (1) first prize winner in the Contest.

Grand prize winner(s) and first prize winner(s) may be collectively referred to herein as “winner” or “winners.”

The “Point System”: an Entry will receive “point(s)” for each Game in which the Entry correctly picks which real-world men’s college basketball teams (each a “Team”) will win such Game. No points will be awarded for the “First Four” games scheduled to be played on March 15-16, 2022. The number of points awarded for a correct Game pick in a given round in the Tournament is as follows:

    • Round 1 (Round of 64): 1 point per correct Game pick
    • Round 2 (Round of 32): 2 points per correct Game pick
    • Round 3 (Round of 16): 4 points per correct Game pick
    • Round 4 (Round of 8): 8 points per correct Game pick
    • Round 5 (Round of 4): 16 points per correct Game pick
    • Round 6 (Championship game): 32 points per correct Game pick

Whether a pick is correct will be based on the results of an applicable Game as determined by Sponsor in its sole discretion. If a Game is cancelled or forfeited, for any reason, the Team which is declared the winner of the Game or otherwise advances in the Tournament will be deemed the winner of the Game for purposes of this Contest. However, if any Game is cancelled in its entirety, for any reason, such that no team is deemed to have won the Game or advanced in the Tournament, no points will be awarded for such Game and no Entry will be considered a Perfect Bracket. In the event that one or more teams participating in the Tournament change(s) for any reason after the initial Tournament seedings have been posted on the Website, Sponsor will update the Website to reflect the changed team(s), and will make a reasonable attempt to notify entrants of the changed bracket(s) by posting a notice of the change(s) on the Website. At that point, it is an entrant’s responsibility, prior to the end of the Contest Period, to return to the Website to modify his/her Entry with new picks for any Game(s) affected by the changed teams. Sponsor will not automatically update any Entries in order to reflect the change in teams, so unless an entrant takes action to modify his/her team picks, any previously selected picks affected by a change in teams may be deemed incorrect.

The potential winner(s) will be notified via email and/or telephone. Sponsor is not obligated to leave a voice, recorded, or another message. The potential winner(s) will be required to respond to the notification within two (2) business days of the date and time notification was sent/attempted by Sponsor, with the required information, or the applicable prize will be forfeited. The potential winner(s) must continue to comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements.

PLEASE NOTE THAT EVEN IF YOUR ENTRY IS LISTED AS A POTENTIAL WINNER AT THE CLOSE OF THIS CONTEST, YOU HAVE NOT YET WON A PRIZE. POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, AND MUST MEET ALL ELIGIBILITY REQUIREMENTS AND THE TERMS OF THESE OFFICIAL RULES BEFORE AN ENTRANT WILL BE CONFIRMED AS A WINNER AND A PRIZE WILL BE AWARDED.

The potential winner(s) may be required to sign and return an Affidavit of Eligibility, Liability, & Publicity Release (“Affidavit”) and an IRS W-9 form to Sponsor. If required by Sponsor, these documents will be sent out to the potential winner(s) by email along with instructions on to how to return them to Sponsor. In addition, the potential winner’s guest, if any and as applicable, may (in Sponsor’s sole discretion) be required to execute and return a release of liability as directed in order to participate in the prize as winner’s guest. The potential winner(s) and his or her guest, if any and as applicable, may be required to provide his/her U. S. Social Security Number for tax purposes. Sponsor reserves the right to modify the notification and Affidavit procedures in connection with the selection of any alternate potential winner. If requested by Sponsor, potential winner(s) must be willing to voluntarily submit to and complete a background check as a condition of continued eligibility. Sponsor may share potential winner’s name and contact information with Contest Entities and/or any prize provider, as applicable, if necessary.

In Sponsor’s sole discretion, a potential winner(s) may be disqualified (and may forfeit his/her prize) if such selected potential winner (i) is unreachable or does not timely respond to any communication from Sponsor (or its designee) (or if a winner notification is returned as undeliverable), (ii) declines or cannot accept, receive or use a prize for any reason, (iii) fails to sign and return the Affidavit within the required time period, and/or (iv) does not comply with these Official Rules or is found to be ineligible. Forfeited prizes may not be awarded. In the event that a potential winner is disqualified and/or is unable to satisfy the requirements herein, Sponsor will use reasonable efforts to award the prize to an alternate potential winner (if necessary and time permitting) who successfully meets the requirements to receive a prize but reserves the right to not award the prize after multiple efforts to identify an alternate potential winner (if any) who accepts the prize.

Notwithstanding anything in these Official Rules to the contrary, Sponsor will have complete discretion over interpretation of these Official Rules, of administration of the Contest, and of selection/determination of the potential winner(s). Sponsor’s decisions in all matters related to the Contest are final and binding. Each potential winner may, in Sponsor’s sole discretion, be required to show a valid state issued driver’s license, government-issued identification or other identification (subject to Sponsor’s approval) as evidence of identity.
